Terms of Service

1. Acceptance of Terms

By accessing or using the AgentReadi platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and AgentReadi ("we", "us", "our").

2. Description of Service

AgentReadi is a software-as-a-service platform that makes small and medium-sized businesses discoverable and actionable by AI agents. The Service consists of three core components:

• SME Dashboard — a web application where business owners manage their profile, services, actions, analytics, and integrations
• Agent API — a public REST API that AI agents use to discover businesses and execute actions on behalf of end users
• JS Embed — a lightweight script that businesses add to their websites to advertise their AI-readiness

3. Account Registration

To use the Service you must create an account. When registering you agree that:

• You are at least 16 years of age
• You will provide accurate, current, and complete information
• You will maintain the security of your account credentials and are responsible for all activity under your account
• You will promptly notify us of any unauthorised access or use of your account

4. Subscription & Billing

AgentReadi offers free and paid subscription plans. Paid plans are billed on a recurring basis through Stripe. By subscribing to a paid plan you agree that:

• You authorise us to charge the payment method on file at the start of each billing cycle
• You may cancel your subscription at any time via the Billing Portal in your dashboard
• Cancellations take effect at the end of the current billing period — no refunds are issued for partial periods
• We may change pricing with at least 30 days' notice; continued use after a price change constitutes acceptance

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Abuse, disrupt, or place an unreasonable load on the Service or its infrastructure
• Scrape, crawl, or extract data from the Service except through the provided APIs
• Reverse engineer, decompile, or disassemble any part of the Service
• Impersonate another person, business, or entity, or misrepresent your affiliation
• Transmit malware, spam, or any content that is harmful, offensive, or infringes on the rights of others

6. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by AgentReadi and protected by intellectual property laws. Nothing in these Terms transfers any ownership rights in the Service to you.

You retain full ownership of any business data, content, and materials you submit to the Service ("User Content").

7. User Content

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and process that content solely for the purpose of operating and providing the Service. This includes making your business information available to AI agents via our API and embed script.

You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe on any third party's rights.

8. API & Embed Usage

Access to the Agent API and embed script is subject to rate limits that vary by subscription plan. You agree that:

• You will not attempt to circumvent or exceed the rate limits applicable to your plan
• You will not use the API to build a competing product or service
• We may suspend or revoke your API access at any time if we determine, in our sole discretion, that your usage constitutes abuse

9. Third-Party Services

The Service integrates with third-party providers including Supabase, Stripe, Resend, Vercel, Anthropic, and Upstash. Your use of the Service is also subject to the terms and privacy policies of these providers. We are not responsible for the practices or availability of any third-party service.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, AgentReadi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to us in the 12 months preceding the claim.

12. Termination

You may terminate your account at any time by contacting us or deleting your account through the dashboard. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 10, 11, and 14 shall survive termination.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes we will notify you by email or by placing a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
